LAW-8086 In-House Counsel: Ethical Practice

This course introduces students to some of the unique ethical challenges faced by In-House counsel.  In-House counsel must act as a part of a management team while maintaining professional ethical and legal standards.  Counsel also must support enterprise objectives and promote a culture of compliance. These competing responsibilities can create unique practice challenges.In this experiential course, students will examine and apply effective codes of conduct, company policies, means of communications, and other vehicles to provide effective in-house counsel.  The course will use case studies, projects, and role playing to allow students to work through realistic ethical situations that arise for lawyers who practice within an entity.  Topics include special applications of the attorney client privilege, disclosure obligations, confidentiality, management directives, whistleblower reports, conflicts of interest, and other situations.  Students will develop knowledge about ethical guidelines in this unique practice setting, as well as gain skills for assessing and mitigating risks, balancing conflicting requirements, and being an effective part of a management team.
