LAW-8085 In-House International Commercial Practice
This course introduces students to international legal issues faced by In-House counsel supporting business expansion outside of the United States. It should be especially applicable to students interested in working in smaller legal departments and start-ups.The course will include a basic survey of the US and international legal and regulatory issues including the US foreign corrupt practices act and similar bribery statutes, data transfer regimes, local governance requirements, intellectual property issues, privacy, export compliance, employee protection schemes etc. We will explore legal tools to enter new markets, consider how differing business practices and cultural issues impact practice, and discuss the use of in-country counsel. The focus will be on identifying and mitigating legal risks while furthering the entity’s objectives.Students will develop skills to identify issues, assess risks, and provide effective commercial counseling and well drafted documents.
