LAW-2034 Advanced Topics in LLC Law

This seminar surveys the law governing limited liability companies (LLCs). Core issues are explored under organizing principles found under Massachusetts and Delaware law: general provisions; formation issues; relations of members and managers to third parties (including agency principles); relations of members to each other (including fiduciary duties); transferable interests; dissociation; derivative actions; foreign LLCs; and mergers and other combinations (including cross species combinations). The class will be required to draft an operating agreement under Massachusetts law (with alternate Delaware law provisions). . Pre-requisite - Business Entity Fundamentals .
